Welcome to SHAXANO. These Terms of Service ("ToS") govern your access to and use of the SHAXANO website located at http://www.shaxano.com/ By using the Site, you agree to be bound by these ToS. If you do not agree to these ToS, you should not use the Site.
Access to the Site
To access the Site, you must be at least 18 years old. By using the Site, you represent and warrant that you are at least 18 years old.
We reserve the right to modify or discontinue the Site at any time, with or without notice to you. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Site.
User Content
The Site may allow you to upload or submit content, including but not limited to comments, reviews, and feedback ("User Content"). By uploading or submitting User Content, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Site and our business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.
You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant to us the rights in such User Content, as contemplated under these ToS; and (ii) neither the User Content, nor your submission, uploading, publishing or otherwise making available of such User Content, nor our use of the User Content as permitted herein will infringe, misappropriate or violate a third party's patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.
You agree not to upload, submit, or otherwise make available any User Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable.
We reserve the right to remove any User Content from the Site at any time, with or without notice to you.
Intellectual Property
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SHAXANO, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These ToS permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:
(i) Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
(ii) You may store files that are automatically cached by your Web browser for display enhancement purposes.
(iii) You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

If we provide social media features with certain content, you may take such actions as are enabled by such features.You must not:(i) Modify copies of any materials from the Site.(ii) Use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text. (iii) Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Site.(iv) Access or use for any commercial purposes any part of the Site or any services or materials available through the Site.
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Site in breach of the ToS, your right to use the Site will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. Any unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes.
Except as expressly provided herein, we do not grant you any express or implied rights, and all rights in and to the Site and its contents are retained by us.
Prohibited Uses
You may use the Site only for lawful purposes and in accordance with these ToS. You agree not to use the Site:
(i) In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
(ii) For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
(iii) To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
(iv) To impersonate or attempt to impersonate us, our employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
(v) To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, may harm us or users of the Site, or expose them to liability. Additionally, you agree not to: (i) Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site, including their ability to engage in real-time activities through the Site. (ii) Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site. (iii) Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent. (iv) Use any device, software, or routine that interferes with the proper working of the Site. (v) Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful. (vi) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
Disclaimer of Warranties
Any kind, either express or implied. To the fullest extent permissible under applicable law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or the servers that make the Site available are free of viruses or other harmful components.
Limitation of Liability To the fullest extent permissible under applicable law, we will not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of such damages), arising out of or in connection with your use of the Site. Your sole remedy for dissatisfaction with the Site is to stop using the Site.
Indemnification You agree to defend, indemnify, and hold harmless SHAXANO, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these ToS or your use of the Site, including, but not limited to, any User Content uploaded or submitted by you, your use of any content obtained from the Site, or your violation of any rights of another.
Governing Law These ToS and your use of the Site shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any principles of conflicts of law. Any legal suit, action, or proceeding arising out of or relating to these ToS or the Site shall be instituted exclusively in the federal or state courts located in the County of Los Angeles, California.
Changes to the ToS We may revise and update these ToS from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Site thereafter. Your continued use of the Site following the posting of revised ToS means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
Miscellaneous These ToS, together with the Privacy Policy, constitute the entire agreement between you and SHAXANO regarding the use of the Site. If any provision of these ToS is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The failure of SHAXANO to enforce any right or provision of these ToS shall not be deemed a waiver of such right or provision. The section titles in these ToS are for convenience only and have no legal or contractual effect.
